Cooper makes an offer for ORIGIO

Infertility treatment device provider ORIGIO A/S (OSE: ORO) was the big winner in Monday action. Global medical devices company The Cooper Companies, Inc. (NYSE: COO) is making a recommended all cash offer for all the shares in the Scandinavian Assisted Reproductive Technogy (ART) company. Cooper is offering 28 NOK per share, which represents over 70% premium on Friday close. This values the company at 926 million NOK.

Shareholders holding around 46% of the share capital have agreed to accept the offer. These are Orkla ASA (OSE: ORK), Willam Demant Invest, Leti Pharma GmbH, Skagen Vekst, Storebrand Vekst, MP Pensjon, Bio Holding AS, DNB Nor (OSE: DNB), Jens Holst and the company leadership. The offer contains a number of customary conditions, among others that more than 90% of shareholders need to accept the offer for it to become binding.

ORIGIO’s product offering consists of the following: MediCult Media for reproductive cell handling, Humagen Pipets ie. special pipets for IVF and research laboratoriums, MidAtlantic Devices for the use of embryologists and andrologists, ScanLab Equipment and Artworks Solutions for oocyte retrieval and embryo transfer. ORIGIO will continue to operate as a separate entity under the same name and keeps it headquarters in Denmark.
